Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DepChain platform operated by DepChain, Inc. ("DepChain," "we," "us"). By accessing or using DepChain, you agree to be bound by these Terms.

1. Service Description

DepChain is a supply chain compliance analysis platform designed for defense drone manufacturers. The platform analyzes bills of materials (BOMs) against federal screening lists and compliance regimes, including NDAA Section 848, ASDA/FASC, OFAC sanctions, BIS Entity List, FCC Covered List, CMMC, and ITAR. DepChain maps multi-tier supplier relationships, scores supply chain risk, and provides AI-powered analysis to support procurement and compliance decisions.

2. Decision Support — Not Legal Advice

DepChain provides decision support and does not constitute legal advice. All compliance screening results, risk scores, and recommendations are informational and should be independently verified. Users should consult qualified legal counsel for final compliance determinations. DepChain does not guarantee the accuracy or completeness of any government screening list data.

3. Data Ownership

You retain all rights to data you upload to DepChain. DepChain claims no ownership of your BOM data, supplier information, or any other content you provide. We process your data solely to deliver the services described herein. You may export or delete your data at any time through the platform.

4. ITAR and Export Control Responsibilities

Users are responsible for ensuring that ITAR-controlled technical data is not uploaded to DepChain without appropriate controls in place. DepChain is not a classified or ITAR-registered system. If your organization handles USML-controlled articles or technical data, you must ensure that any data shared with DepChain has been reviewed and approved for use in an unclassified, commercial SaaS environment.

5. Acceptable Use

You agree not to misuse the DepChain platform. This includes, without limitation: reverse engineering, decompiling, or disassembling any part of the service; using the platform for any unlawful purpose or in violation of export control regulations; attempting to gain unauthorized access to systems or data; or interfering with the operation or security of the platform. You are responsible for all activity that occurs under your account.

6. Service Availability

DepChain is currently a beta product and is provided "as is" and "as available." We aim for high availability but do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue features at any time during the beta period. We will make reasonable efforts to notify users of material changes in advance.

7. Limitation of Liability

To the maximum extent permitted by law, DepChain shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. DepChain's total aggregate liability for any claims arising under these Terms shall not exceed the fees you paid to DepChain in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability.

8. Termination

Either party may terminate these Terms at any time with written notice. Upon termination, your right to access the platform will cease. You will have thirty (30) days following termination to export your data. After this period, we may delete your data in accordance with our data retention policies.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.
